DEFINITIONS
Account: The profile created when you register to use the Services, including sub-accounts, credentials, and settings.
Acceptable Use Policy (AUP): The policy governing permissible conduct while using the Services.
Aggregated Data: Data derived from customer use of the Services that is anonymized and combined for analytics and improvement.
Beta Features: Any functionality marked as “beta,” “preview,” or “early access.”
Billing Cycle: The recurring monthly billing period.
Business: The company or legal entity using the Services.
Call Minutes: Units of call time used or included under a Plan.
Confidential Information: Any non-public information disclosed between parties.
Customer Communications: Calls, texts, voicemails, or emails initiated through the Services.
Customer Content: All data, scripts, prompts, and materials uploaded or generated.
Effective Date: The date listed at the top of these Terms or when you first access the Services.
Enterprise Plan: The highest-tier subscription plan Intake EQ offers.
Indemnitees: Intake EQ, its affiliates, officers, directors, employees, and agents.
Minutes Overage: Call usage exceeding your plan allocation.
Intake EQ Marks: The Intake EQ name, logos, and branding.
Intake EQ Technology: The platform, software, AI models, and infrastructure powering the Services.
Order Form: Any document or checkout page confirming your subscription terms.
Payment Method: The card, ACH, or other instrument used to pay fees.
Plan / Subscription Plan: Intake EQ subscription tiers.
Privacy Policy: Intake EQ’s Privacy Policy, incorporated by reference.
Registration Data: Information you provide at signup.
Services: Intake EQ’s AI-powered voice and intake platform.
Term: The contractual duration of these Terms.
Third-Party Services: Any integration or platform not controlled by Intake EQ.
Trial Period: The one-time, 3-day free trial unless otherwise stated.
1. ACCEPTANCE OF TERMS
By using Intake EQ’s Services, you agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years old and legally authorized to bind your Business. If you do not agree, you may not use the Services.
2. SERVICE DESCRIPTION
Intake EQ provides an AI-powered voice intake and automation platform. Core functions include outbound automation, inbound call handling, dynamic call flows, live transfers, notifications, training simulations, and analytics.
Important: Intake EQ is not a replacement for traditional telephone service and cannot be used for emergency (911) calls.
3. ACCOUNT REGISTRATION
You must provide accurate information.
You are responsible for maintaining confidentiality of credentials.
Accounts are for business use only, not for personal or consumer purposes.
Misuse, fraudulent activity, or violations may result in suspension or termination.
4. SUBSCRIPTION PLANS & BILLING
Plans: Business, Agency, Pro, VIP, Enterprise.
Fees: Billed monthly in advance; auto-renewed unless canceled.
Free Trial: 3-day trial, limited to one per business.
All Sales Final: No refunds after purchase.
Overage: Enterprise Plans may exceed usage with overage charges.
Cancellation: Stops renewal but does not refund current cycle.
5. ACCEPTABLE USE POLICY
You must comply with all applicable U.S. federal and state laws, including the Telephone Consumer Protection Act (TCPA), FTC regulations, and FCC rules.
Prohibited uses include:
Spam, unlawful, or harassing content
Impersonation or misrepresentation
Illegal or deceptive marketing practices
Unauthorized recording without proper consent
You are solely responsible for ensuring all contacts, recordings, and messages comply with applicable U.S. regulations.
6. CUSTOMER RESPONSIBILITIES
You control and are responsible for all Customer Communications.
You must scrub numbers against Do Not Call (DNC) lists, honor opt-outs, and retain proof of consent.
Intake EQ is not liable for Customer Content, compliance issues, or misuse of the platform.
7. DISCLAIMER OF WARRANTIES
The Services are provided “AS IS” and “AS AVAILABLE.” Intake EQ makes no guarantees regarding call quality, connectivity, outcomes, or fitness for a particular purpose.
8. LIMITATION OF LIABILITY
Intake EQ’s total liability is capped at the subscription fees paid in the 12 months prior to a claim.
Intake EQ is not liable for indirect, consequential, or punitive damages.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold Intake EQ harmless from claims arising out of your use of the Services, your Customer Content, or any legal violations (including TCPA and DNC rules).
10. DATA PRIVACY
Governed by our Privacy Policy (U.S.-only).
Intake EQ does not sell personal data.
You are responsible for obtaining and documenting consent for all communications.
Data is retained as required for operations and legal obligations, then securely deleted.
11. INTELLECTUAL PROPERTY
Intake EQ is a subcontractor of Nedzo.ai who owns all rights to the platform and technology.
You retain rights to your Customer Content but grant Intake EQ a license to use it solely to provide and improve Services.
Feedback you provide may be used by Intake EQ without obligation.
12. THIRD-PARTY SERVICES
Integrations are optional and governed by third-party terms. Intake EQ is not liable for issues arising from external platforms or carriers.
13. TERMINATION
You may cancel anytime; effective end of billing cycle.
Intake EQ may suspend or terminate access for violations, non-payment, or legal requirements.
Data will be deleted within 30 days of termination unless retention is required by law.
14. GOVERNING LAW & DISPUTES
These Terms are governed by Delaware law, United States.
Disputes will be resolved through binding arbitration under the AAA Commercial Rules.
Class actions and jury trials are waived.
15. CHANGES TO TERMS
We may update these Terms to reflect business, legal, or service changes. Updates will be posted with a new Effective Date. Continued use after changes means acceptance.
16. MISCELLANEOUS
Entire agreement between you and Intake EQ.
No assignment without Intake EQ’s consent.

Force majeure applies.
No third-party beneficiaries.
