DEFINITIONS
“Account” means the administrative profile created when you register to use the Services, together with all sub-accounts, user seats, credentials, and configuration settings associated with that profile.
“Acceptable Use Policy” or “AUP” means the policy governing permissible and impermissible conduct while using the Services and is incorporated into these Terms.
“Aggregated Data” means data derived from Customer Content or usage of the Services that has been de-identified and combined with other data so that neither you nor any individual can be identified.
“AI Agent” means any automated, artificial-intelligence-driven voice or messaging system provided through the Services, including inbound handling, outbound calling, or conversational workflows.
“Beta Features” means functionality designated as “beta,” “preview,” or “early access,” which may be modified or discontinued at any time.
“Billing Cycle” means the recurring monthly period for which subscription fees are charged.
“Business” refers to the company or other legal entity on whose behalf the Services are used.
“Call Minutes” or “Minutes” means metered units of inbound or outbound call time consumed under a Plan.
“Confidential Information” means any non-public information disclosed by one party to the other that is marked or reasonably understood to be confidential.
“Customer Communications” means any call, text message, voicemail, email, or other communication initiated, transmitted, or recorded through the Services under your Account.
“Customer Content” means all data, scripts, prompts, audio files, images, workflows, configuration logic, contact lists, or other materials uploaded or generated through the Services.
“Effective Date” means the date listed at the top of these Terms or, if absent, the earlier of the date you first access the Services or accept an Order Form.
“Enterprise Plan” means Intake EQ’s highest-tier subscription offering.
“Indemnitees” means Intake EQ LLC, its affiliates, and their respective officers, directors, employees, agents, contractors, and licensors.
“Minutes Overage” means call usage that exceeds the monthly included Minutes.
“Intake EQ Marks” means the “Intake EQ” name, logos, service names, designs, and slogans.
“Intake EQ Technology” means all platform components, software, infrastructure, AI models, algorithms, documentation, telephony systems, and improvements developed or licensed by Intake EQ.
“Order Form” means any ordering document or online checkout specifying your Subscription Plan and pricing.
“Payment Method” means any payment instrument you provide for billing.
“Plan” or “Subscription Plan” refers to the subscription tiers currently offered.
“Privacy Policy” means Intake EQ’s privacy statement, incorporated by reference.
“Registration Data” means the information you provide when creating your Account.
“Services” means Intake EQ’s AI-powered voice, intake, and communications automation platform, including all applications, APIs, tools, dashboards, and related offerings.
“Term” refers to the duration of your contractual relationship with Intake EQ under these Terms.
“Third-Party Services” means external applications, CRMs, platforms, carriers, or systems that interoperate with the Services.
“Trial Period” means the one-time, three-day free trial.
1. ACCEPTANCE OF TERMS
1.1 Binding Agreement
These Terms constitute a legally binding contract between you and Intake EQ LLC, a U.S. company, governing your access to and use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.
1.2 Authority and Capacity
If you use the Services on behalf of a Business, you represent and warrant that you have authority to bind that Business and that all information you provide is accurate and complete.
1.3 Rejection of Terms
If you do not agree to all provisions herein, you must not access or use the Services.
2. SERVICE DESCRIPTION
2.1 Overview
Intake EQ provides AI-powered automation tools for handling inbound calls, outbound calls, scheduling, routing, and performing conversational workflows configured by you.
2.2 Core Functionality
Subject to these Terms, the Services enable you to:
a. Initiate outbound AI calls for appointment setting, reminders, collections, surveys, etc.
b. Handle inbound calls using AI Agents, including routing, transferring, and voicemail.
c. Build dynamic conversational flows and workflow logic.
d. Perform real-time warm and cold transfers.
e. Generate confirmations, webhooks, and notifications.
f. Train teams using synthetic role-play simulations.
g. Access call recordings, analytics, transcripts, sentiment data, and dashboards.
2.3 User Configuration & Responsibility
You control all scripts, prompts, workflows, and logic (“Configurations”). Intake EQ does not review or verify your configurations and has no liability for errors, outcomes, or legal compliance related to Customer Content or AI Agent behavior.
2.4 Service Modifications
We may modify or discontinue any feature but will provide notice if a change materially affects core functionality.
2.5 Beta Features
Provided “AS IS,” with no warranties or guarantees.
2.6 Service Limitations
a. No Emergency Calling – Services cannot place or receive 911 or emergency calls.
b. Geographic or carrier restrictions may apply.
c. Fair-use protections may limit unusually high or harmful usage.
2.7 Third-Party Services
Use of Third-Party Services is optional and governed solely by their terms.
3. ACCOUNT REGISTRATION
3.1 Eligibility
Must be 18+ and acting for a Business.
3.2 Registration Data
Must be accurate and kept current.
3.3 Credentials
You are responsible for safeguarding your Account credentials.
3.4 Business Use Only
Not for personal or consumer use.
3.5 Unauthorized Access
You must notify Intake EQ of any suspected breach.
3.6 Suspension
We may suspend or terminate Accounts for violations, fraud, or risks to the platform.
3.7 Effect of Termination
All rights cease. You must stop using the Services.
4. SUBSCRIPTION PLANS & BILLING
4.1 Plan Tiers
Business, Agency, Pro, VIP, Enterprise.
4.2 Monthly Minute Allowance
Minutes reset monthly; unused Minutes do not roll over.
4.3 Free Trial
A single three-day trial per legal entity.
4.4 Fees, Billing Cycle, and Payment Method
a. Fees billed monthly in advance.
b. Auto-renewing subscription.
c. You authorize recurring charges.
d. Failed payments may result in suspension.
4.5 ALL SALES FINAL – NO REFUNDS
No refunds for unused time, unused Minutes, or partial billing periods.
4.6 Cancellation
Stops future billing, does not refund current cycle.
5. ACCEPTABLE USE POLICY
YOU ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH:
• Telephone Consumer Protection Act (TCPA)
• FCC and FTC rules
• All federal and state call-recording consent laws
• CAN-SPAM Act
• Do Not Call (DNC) rules
• Applicable business, marketing, privacy, and telemarketing regulations
Prohibited uses include:
• Spam or mass unsolicited calls/messages
• Deceptive, fraudulent, unlawful, or harmful activities
• Impersonation or misrepresentation
• Circumventing consent requirements
• Recording without legally required disclosures
• Load attacks, scraping, or platform interference
Intake EQ may suspend or terminate the Account for violations.
6. CUSTOMER RESPONSIBILITIES & LIABILITY
6.1 Exclusive Control of Communications
You alone determine:
• who is contacted
• when, how, and how often
• what the AI Agent says
• all logic, routing, and scripts
• whether proper consent exists
6.2 Compliance with Laws
You must maintain proof of consent, scrub DNC lists, honor opt-outs, disclose recording notices, and configure the Services lawfully.
6.3 NO LIABILITY FOR AI OUTPUTS
You acknowledge the following:
Intake EQ does not create, author, supervise, or verify any Customer Communications or AI Agent content.
You accept full responsibility for all AI-generated statements, including:
• inaccurate or misleading information
• misinterpretations
• scheduling or booking errors
• unauthorized statements
• legal or compliance violations
• customer or lead confusion or harm
You agree to not hold IntakeEQ liable for any damages related to AI speech, automation outcomes, routing behavior, or any Customer Communications.
6.4 Indemnification
You will indemnify Intake EQ for any claim arising from:
• Customer Content
• Customer Communications
• violations of law
• misuse of Services
• AI Agent outputs
• telemarketing or privacy failures
7. DISCLAIMER OF WARRANTIES
Services are provided “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS.”
Intake EQ does not warrant that:
• AI outputs will be accurate, reliable, or suitable
• Service will be uninterrupted or error-free
• Call quality or carrier connectivity will meet expectations
• The Services will achieve any specific business result
• Your use of the Services will comply with any law
• Beta Features will function or continue to exist
You assume all risks associated with using AI-driven communications.
8. LIMITATION OF LIABILITY
8.1 Excluded Damages
To the maximum extent permitted by law, Intake EQ is not liable for indirect, incidental, special, punitive, or consequential damages, including lost revenue, lost business, or reputational harm.
8.2 Aggregate Liability Cap
Total liability shall not exceed fees paid in the 12 months preceding the claim.
8.3 Multiple Claims
Do not increase the cap.
9. INDEMNIFICATION
You agree to defend and indemnify Intake EQ from any Claim arising out of:
• Your use of the Services
• Customer Communications
• AI Agent behavior
• Legal or regulatory violations
• Your scripts, content, or workflows
• Third-party or government complaints
10. DATA PRIVACY
• Governed by the Privacy Policy.
• Intake EQ does not sell personal data.
• You are responsible for obtaining consent to process personal data.
• Data may be anonymized for product improvement.
• Data deleted within 30 days upon request unless law requires retention.
11. INTELLECTUAL PROPERTY
• Intake EQ owns the Services and all underlying technologies.
• You retain rights to Customer Content and grant Intake EQ a license to process it to operate and improve the platform.
• Feedback may be used without obligation.
12. THIRD-PARTY SERVICES
• Integrations are optional.
• Intake EQ is not responsible for outages, data issues, or errors caused by third-party platforms.
13. TERMINATION
• You may cancel at any time; access remains through the end of the Billing Cycle.
• Intake EQ may suspend or terminate for violations, legal risk, or nonpayment.
• Data deleted within 30 days of termination unless otherwise required.
14. GOVERNING LAW; DISPUTES
• Governed by Oklahoma State law (U.S.).
• Disputes resolved by binding arbitration under AAA rules.
• Class-action and jury-trial waivers apply.
15. CHANGES TO TERMS
We may revise these Terms at any time.
Continued use after changes constitutes acceptance.
16. MISCELLANEOUS
• These Terms constitute the entire agreement.
• No assignment without Intake EQ’s written consent.
